Partner Program Terms

These Partner Program Terms ("Terms") form a binding agreement between you ("Partner," "you") and AMB Wellness Partners LLC, doing business as Fit Mother Project and Fit Mother Project ("Fit Mother Project," "we," "us," "our") and govern your participation in the Fit Mother Project Partner Program (the "Program"). By registering for, or participating in, the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms supplement, and are in addition to, the Fit Mother Project general Terms of Service and Privacy Policy. If you do not agree, do not participate in the Program.

1. Definitions

• "FM30X" means the FM30X 30-Day Kickstart program offered by Fit Mother Project.
• "Qualifying Sale" means a completed, paid, non-refunded purchase of FM30X made by a new customer through your tracking link, attributed to you by our checkout provider.
• "Earn Link" and "Gift Link" mean the two tracking links made available to you in the Partner Portal, as described in §3.
• "Partner Rewards" means the non-cash recognition rewards described in §8.
• "Marketing Materials" means the swipe copy, graphics, banners, links, and other promotional assets we make available to you.

2. Eligibility & enrollment

• The Program is intended for Fit Mother Project members and customers promoting to people they know.
• You must be at least 18 years old and provide accurate, current registration and payout information.
• Enrollment is subject to our approval, and we may approve, decline, suspend, or remove any Partner at our discretion.
• Your account is personal to you; you may not transfer or assign it without our consent.

3. The two ways to promote

• Earn $100: When a customer completes a Qualifying Sale of FM30X at the regular price ($197) through your Earn Link, you earn a flat $100 commission.
• Gift $100: When a customer purchases FM30X through your Gift Link, they receive $100 off (paying $97). No commission is earned on Gift Link sales, but the sale is tracked to you and counts toward Partner Rewards.

4. Commissions & what is not commissionable

• Commissions apply only to the qualifying FM30X front-end purchase described in §3.
• No recurring commissions. You do not earn on the Fit Mother For Life membership or any subscription, trial, rebill, renewal, or other recurring charge that follows a sale.
• Commissions are not earned on seasonal-promotion checkouts, other products, upsells not designated as commissionable, taxes, shipping, or fees.
• No self-referrals. You may not purchase through your own links for your own benefit, and you may not earn on purchases by members of your household or accounts you control.
• We reserve the right to withhold or reverse commissions we reasonably believe are the result of fraud, abuse, or violation of these Terms.

5. Tracking & attribution

• Referrals are tracked via cookies on a last-touch basis with a 30-day conversion window. The most recent Partner link clicked before purchase receives credit.
• Attribution depends on our checkout provider's tracking; we are not responsible for sales that are not properly tracked (for example, due to a customer's browser settings, ad blockers, or use of a different device), and such sales cannot be credited.
• Our records are the final and authoritative basis for determining clicks, sales, and commissions.

6. Payouts

• Commissions are paid via PayPal. A valid PayPal email is required, and you are responsible for keeping it current.
• Payouts are issued monthly for commissions that have cleared the 30-day refund/guarantee window.
• A minimum balance of $100 is required before a payout is issued; balances below the minimum roll over to the next period.
• Commissions on refunded, charged-back, canceled, fraudulent, or otherwise reversed orders are deducted and not paid.
• You must be in good standing and have satisfied any required tax documentation (see §7) to receive a payout.

7. Taxes

• You are an independent participant, not an employee, agent, or partner of Fit Mother Project, and you are solely responsible for all taxes on amounts you receive.
• We may require a completed Form W-9 (or applicable equivalent) before issuing any payout, and we will issue a Form 1099-NEC where required by law (currently for U.S. payees paid $2,000 or more in a calendar year; thresholds are set by the IRS and subject to change).

8. Partner Rewards

• Reward tiers are based on your lifetime number of tracked sales and do not reset.
• Rewards are a discretionary thank-you, have no cash value, are non-transferable except where expressly stated, and may be substituted with an item or experience of comparable value at our discretion.
• Certain rewards (e.g., retreat spots, lab work, coaching time) are subject to availability, scheduling, eligibility, and any third-party terms, and may have a redemption deadline.
• Rewards attributable to fraudulent, reversed, or ineligible sales are forfeited, and we may revoke rewards obtained in violation of these Terms.

9. Relationship of the parties

You and Fit Mother Project are independent contractors. Nothing in these Terms creates any employment, agency, partnership, joint venture, or franchise relationship. You have no authority to make or accept any offers or representations on our behalf, and you may not enter into any agreement, incur any liability, or make any commitment on our behalf.

10. Limited license to use our brand & materials

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Marketing Materials and our name and logos solely to promote FM30X under the Program and in accordance with these Terms and any brand guidelines we provide.
• You may not modify, alter, or create derivative works of our logos or Marketing Materials except as we expressly permit, and you may not use them in any misleading, disparaging, or unlawful manner.
• All goodwill arising from your use of our brand inures to Fit Mother Project. This license ends automatically when your participation in the Program ends, and you must promptly stop using our brand and Materials.

11. Promotional rules & prohibited conduct

• Be honest. Promote authentically and accurately. Do not make false, misleading, or unsubstantiated statements about FM30X, Fit Mother Project, or your results.
• No health/medical or earnings guarantees. Do not make medical claims, promise specific health outcomes, or guarantee particular results, income, or weight-loss amounts.
• No impersonation. Do not represent yourself as Fit Mother Project or imply official endorsement, sponsorship, or affiliation beyond being a Partner.
• No spam. No unsolicited bulk email, messaging, or posting. Comply with all applicable laws, including the CAN-SPAM Act and anti-spam/telemarketing rules.
• No brand bidding. Do not bid on Fit Mother Project or FM30X trademarked or branded terms (or close variants) in paid search, and do not use our brand in ad copy, display URLs, domains, subdomains, social handles, or app names.
• No coupon/deal sites. Do not publicly post, distribute, or list discount codes or your links on coupon, deal, cashback, or similar sites.
• No prohibited placements. No promotion on sites or in contexts that are illegal, infringing, adult, hateful, or otherwise objectionable.

12. Required disclosures (FTC)

When you promote FM30X, you must clearly and conspicuously disclose your material connection to Fit Mother Project — i.e., that you may earn a commission or rewards from purchases made through your links — in accordance with the U.S. Federal Trade Commission's Endorsement Guides and all applicable laws. Disclosures must be easy to notice and understand and placed near your recommendation or link (for example, "I may earn a commission if you join through my link").

13. Intellectual property

Fit Mother Project and its licensors own all rights, title, and interest in FM30X, the Fit Mother Project brand, the Marketing Materials, and all related intellectual property. Except for the limited license in §10, these Terms grant you no ownership or rights in our intellectual property.

14. Privacy & customer data

You must comply with all applicable privacy and data-protection laws in your promotional activities. Any information about leads or customers that you obtain in connection with the Program must be handled lawfully and may not be sold, rented, or misused. Customer relationships and customer data generated through purchases belong to Fit Mother Project and are governed by our Privacy Policy.

15. Disclaimers

The Program and all Marketing Materials are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Program, tracking, or Partner Portal will be uninterrupted or error-free, and we make no guarantee of any amount of sales, commissions, or earnings.

16. Limitation of liability

To the maximum extent permitted by law, Fit Mother Project will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits or revenues, arising out of or relating to the Program or these Terms. Our total aggregate liability arising out of or relating to the Program will not exceed the total commissions paid or payable to you during the three (3) months immediately preceding the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Fit Mother Project and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, your promotional activities, or your breach of these Terms or applicable law.

18. Term, termination & changes

• These Terms apply for as long as you participate in the Program. Either party may terminate participation at any time, for any reason.
• We may suspend or terminate any Partner — and withhold or forfeit unpaid commissions earned in violation — for breach of these Terms, fraud, or abuse.
• We may modify the Program, commissions, rewards, or these Terms at any time. Changes are effective when posted (or on the date we state), and your continued participation constitutes acceptance.
• Upon termination, your license under §10 ends and you must stop all promotion and use of our brand and Materials. Sections that by their nature should survive (including §§7, 13–17, 19–20) survive termination.

19. Governing law & dispute resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Arizona for any dispute arising out of or relating to the Program or these Terms.

20. General

• These Terms, together with the documents referenced herein, are the entire agreement between you and Fit Mother Project regarding the Program and supersede any prior understandings.
• If any provision is held unenforceable, the remaining provisions remain in full effect.
• Our failure to enforce any provision is not a waiver of it.
• You may not assign these Terms without our consent; we may assign them freely.
